1. Acceptance of These Terms
These Terms of Service (the "Terms") form a binding agreement between you and C1V Technologies Inc., a Wyoming corporation ("C1V," "we," "us," or "our"), governing your access to and use of the website located at g1v.me and any related services, software, mobile experiences, lead forms, scheduling tools, member dashboards, and member communications offered by or through C1V (collectively, the "Services").
By accessing or using the Services, by creating an account, by submitting any form on g1v.me, or by clicking "I agree" (or any similar acknowledgment), you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
If you are accepting these Terms on behalf of another individual or entity, you represent that you have the authority to bind that individual or entity, in which case "you" refers to that individual or entity.
2. Who You Are Contracting With — and Who You Are Not
It is important that you understand the distinction between C1V and the medical practice that provides clinical care.
C1V Technologies Inc. is a management services organization (MSO). C1V does not practice medicine, does not employ or supervise physicians, does not direct clinical decisions, and does not dispense medications. C1V provides non-clinical support services including technology infrastructure, marketing, patient intake coordination, scheduling, customer support, billing administration, and pharmacy logistics coordination.
Treeline Medical Inc. ("Treeline Medical") is an independent licensed medical professional corporation operated by Dr. Fahad Akhtar, MD. Treeline Medical is solely responsible for all clinical services, medical evaluations, prescribing decisions, and ongoing care. Treeline Medical exercises independent professional medical judgment at all times.
Treeline Medical is currently licensed in the following U.S. states: New Jersey, Pennsylvania, Ohio, Florida, California, Texas, and New York.
When you receive clinical services through g1v.me, your patient-provider relationship is with Treeline Medical, not with C1V. All medical advice, prescriptions, and treatment decisions are made by Treeline Medical clinicians in their sole professional judgment.
3. Eligibility
To access or use the Services, you must:
(a) Be at least 18 years of age;
(b) Reside in one of the U.S. states listed in Section 2 (or another state we expressly announce as served);
(c) Have the legal capacity to enter into a binding contract;
(d) Not be barred from receiving the Services under any applicable law or regulation; and
(e) Provide accurate, current, and complete information when registering or interacting with the Services.
The Services are intended for adults seeking physician-directed weight-management and metabolic-health support. The Services are not intended for, and we do not knowingly collect personal information from, minors.
4. Description of Services
The Services include, without limitation:
- A subscription-based membership platform connecting you with Treeline Medical clinicians for physician-directed weight-management consultations;
- Digital intake, scheduling, and secure messaging tools;
- Access to AI-supported wellness features including nutrition planning, workout building, progress tracking, and educational content;
- Pharmacy logistics coordination between your prescribing clinician and a partner pharmacy for the fulfillment of any prescribed medication; and
- Member support and concierge services for non-clinical questions.
The Services do not include the practice of medicine, the dispensing of medications, or the issuance of prescriptions. Clinical services are provided exclusively by Treeline Medical. Medication dispensing is provided exclusively by licensed pharmacies.
We reserve the right to modify, suspend, or discontinue any portion of the Services at any time, with or without notice.
5. Account Registration
To access certain features of the Services, you must create an account. You agree to:
(a) Provide accurate, current, and complete information during registration;
(b) Maintain and promptly update your account information;
(c) Maintain the confidentiality of your account credentials;
(d) Accept responsibility for all activity that occurs under your account; and
(e) Notify us immediately at support@g1v.me if you suspect unauthorized access to your account.
You may not share your account with any other person. We reserve the right to suspend or terminate accounts that violate these Terms.
6. Telehealth Services and Informed Consent
By using the Services to interact with Treeline Medical clinicians, you acknowledge and agree that:
(a) Telehealth Modality. Care will be delivered remotely using video, audio, secure messaging, and/or asynchronous review of submitted information. Telehealth is not equivalent in every respect to an in-person visit. Limitations include the inability to perform a physical examination, the dependence on the accuracy of information you provide, and potential technology disruptions.
(b) Independent Clinical Judgment. Treeline Medical clinicians will determine, in their sole professional medical judgment, whether you are a suitable candidate for any treatment, including GLP-1 receptor agonist medications. A prescription is not guaranteed. Treeline Medical may decline to prescribe at any time for clinical, safety, or regulatory reasons.
(c) Accurate Information. You agree to provide truthful, complete, and current information about your medical history, current medications, allergies, pregnancy status, and any other information requested. Withholding or misrepresenting information may result in serious harm and may result in termination of the patient relationship.
(d) Identity Verification. Treeline Medical may verify your identity through government-issued identification and other means before issuing a prescription, consistent with applicable telemedicine and prescribing laws.
(e) Separate Informed Consent. You may be asked to sign a separate Telehealth Informed Consent form and a GLP-1 Medication Informed Consent form before receiving care. Those forms are agreements between you and Treeline Medical and are separate from these Terms.
7. Medical Disclaimer — Not a Substitute for Emergency Care
The Services are not designed for, and must not be used in, medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.
The Services are not a substitute for in-person evaluation when in-person care is clinically indicated. The Services do not replace your relationship with a primary care provider, and we strongly encourage you to maintain an ongoing primary care relationship.
Information made available through the Services — including educational content, AI-generated suggestions, nutrition recommendations, and workout content — is for general informational and wellness purposes only and is not medical advice. Always consult a qualified clinician before making decisions about your health.
8. Prescription Medications and GLP-1 Risk Acknowledgment
If a Treeline Medical clinician prescribes a medication, you acknowledge:
(a) Medications including GLP-1 receptor agonists (such as semaglutide and tirzepatide) carry serious risks, including but not limited to thyroid C-cell tumors, pancreatitis, gallbladder disease, gastroparesis, severe gastrointestinal effects, kidney injury, hypoglycemia (particularly when combined with other agents), allergic reactions, and risks during pregnancy.
(b) You must read and understand the medication's FDA-approved labeling and the Medication Guide before initiating therapy.
(c) You must follow your clinician's instructions exactly, including dose escalation schedules, injection technique (if applicable), storage requirements, and follow-up appointments.
(d) You must promptly report any side effects, adverse events, or unexpected symptoms to Treeline Medical and seek emergency care for severe symptoms.
(e) You are responsible for safely storing and disposing of all medications and injection supplies in accordance with applicable law.
(f) No outcome is guaranteed. Individual results vary widely. We make no representation or warranty that any specific weight-loss, metabolic, or health outcome will be achieved.
9. Pharmacy Fulfillment
When a Treeline Medical clinician issues a valid prescription, the prescription is transmitted to a licensed pharmacy partner for dispensing. C1V does not dispense medications and does not act as a pharmacy. The pharmacy is solely responsible for verifying the prescription, dispensing the medication, providing required counseling, shipping the medication, and complying with all federal and state pharmacy laws.
Pricing for medications is set by the pharmacy or by the manufacturer (in the case of manufacturer-direct programs) and is separate from any subscription or membership fee paid to C1V. Medication pricing is subject to change without notice. We make no warranty regarding medication availability, shipping times, or insurance coverage.
If you wish to use a different pharmacy, you must inform Treeline Medical, which retains sole discretion over whether to accommodate that request consistent with applicable law and clinical judgment.
10. Subscription, Fees, and Payment
10.1 Membership Fees
Access to the Services is provided on a subscription basis. The current membership fee is $75 per month, billed in advance on a recurring monthly basis. Pricing is subject to change with notice; the rate disclosed at the point of enrollment will be the rate charged to you, and any changes to your rate will be communicated in advance in accordance with applicable law.
The membership fee covers non-clinical support services provided by C1V and the administrative coordination required to deliver the Services. The membership fee does not include the cost of medications, laboratory tests, or any clinical fees that may be charged separately by Treeline Medical.
10.2 Authorization to Charge
By providing a payment method, you authorize C1V (and its payment processors, including Stripe and PayPal) to charge the payment method for the membership fee, applicable taxes, and any additional fees you agree to incur. You are responsible for keeping your payment method current.
10.3 Auto-Renewal
Your membership will automatically renew each month at $75 unless you cancel before the next billing date. By enrolling, you expressly consent to recurring monthly charges. You can cancel at any time via your member dashboard or by contacting support@g1v.me.
10.4 Failed Payments
If a payment fails, we may suspend access to the Services until payment is resolved. We may retry the payment method, attempt alternative methods on file, and contact you to update your information.
10.5 Taxes
You are responsible for any taxes, duties, or governmental charges applicable to your use of the Services, except for taxes based on C1V's net income.
10.6 Promotional Pricing
From time to time we may offer promotional pricing or introductory discounts. Promotional pricing is subject to the specific terms disclosed at the time of the offer and may be revoked or modified at our discretion.
11. Cancellation and Refund Policy
11.1 Cancellation
You may cancel your membership at any time through your member dashboard or by emailing support@g1v.me. Cancellation takes effect at the end of the current billing cycle. You will continue to have access to membership services until the end of that cycle.
11.2 Refunds
Except as required by applicable law, membership fees are non-refundable. We do not pro-rate refunds for partial months of service. Medication costs paid to a pharmacy are governed by the pharmacy's own refund and return policies — C1V cannot issue refunds for medication purchases.
11.3 Refunds in Exceptional Circumstances
In our sole discretion, we may issue partial or full refunds in cases of documented billing error, duplicate charges, or other exceptional circumstances. Submit refund requests to support@g1v.me within 30 days of the disputed charge.
11.4 Chargebacks
If you initiate a chargeback or payment dispute with your card issuer or bank without first attempting to resolve the issue with us, we may suspend or terminate your account and pursue recovery of fees owed.
12. Communications and Consent
12.1 Email Communications
By creating an account, you consent to receive transactional and service-related emails from us, including appointment confirmations, billing notifications, security alerts, and policy updates. You cannot opt out of essential service emails while a membership is active.
12.2 SMS / Text Messages
If you provide a mobile phone number, you expressly consent to receive automated and non-automated text messages from us and from Treeline Medical, including appointment reminders, refill notifications, member support, and (with separate marketing consent) promotional offers. Message and data rates may apply. Message frequency varies.
You may opt out of marketing text messages at any time by replying STOP. You may request help by replying HELP. Opting out of marketing text messages does not opt you out of essential service messages required to deliver care.
SMS consent is not a condition of purchasing any goods or services.
12.3 Recording of Calls
Calls between you and our support team may be recorded for quality assurance and training purposes. By placing or receiving a call, you consent to such recording where permitted by law.
13. User Content
You may submit information, photographs (for example, AI Progress Tracker images), and other content ("User Content") through the Services. You retain ownership of your User Content, but you grant C1V and Treeline Medical a non-exclusive, royalty-free, worldwide license to use, store, reproduce, display, and process User Content as necessary to provide the Services and as permitted by our Privacy Policy.
You represent and warrant that you have the right to submit your User Content and that doing so does not violate any law or any third party's rights.
You must not submit User Content that:
- Is unlawful, defamatory, harassing, or threatening;
- Infringes any intellectual property or privacy right;
- Contains malicious code, spam, or phishing material;
- Impersonates any person or entity; or
- Is misleading or fraudulent.
We may remove User Content, suspend accounts, or terminate access at our discretion for violations of this Section.
14. Acceptable Use
You agree not to:
(a) Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
(b) Use the Services to obtain medications for any purpose other than your own legitimate medical use;
(c) Resell, redistribute, or share any medication obtained through the Services;
(d) Misrepresent your identity, health status, or medical history;
(e) Attempt to gain unauthorized access to the Services, other accounts, or any related systems;
(f) Reverse engineer, decompile, scrape, or extract data from the Services except as permitted by law;
(g) Use the Services to send spam, phishing, or unsolicited communications;
(h) Interfere with or disrupt the Services or any related infrastructure;
(i) Use any automated means (bots, scrapers, crawlers) to access the Services without our written permission; or
(j) Engage in any conduct that we determine, in our sole discretion, harms or threatens to harm C1V, Treeline Medical, other members, or the integrity of the Services.
15. Intellectual Property
All content on g1v.me — including text, graphics, logos, images, software, AI models, and the "GLP-360" platform — is owned by C1V or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms. No other rights are granted. You may not copy, modify, distribute, sell, or create derivative works of any portion of the Services without our prior written consent.
16. Third-Party Services
The Services may incorporate, link to, or rely on third-party tools, websites, and services, including without limitation:
- Healthie — practice management, scheduling, secure messaging, and EHR;
- Stripe and PayPal — payment processing;
- Keragon — HIPAA-compliant middleware and system integrations;
- Meta (Facebook / Instagram) — advertising and conversion measurement;
- TikTok — advertising and conversion measurement;
- Partner pharmacy portals — prescription transmission and fulfillment status; and
- Analytics providers — performance and usage measurement.
C1V is not responsible for the practices, content, or availability of third-party services. Your use of any third-party service is governed by the third party's own terms and privacy policies, which you should review.
17. Disclaimers
EXCEPT AS REQUIRED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. C1V AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OPERATION.
WITHOUT LIMITING THE FOREGOING:
(a) WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
(b) WE DO NOT WARRANT ANY SPECIFIC MEDICAL, WEIGHT-LOSS, METABOLIC, OR HEALTH OUTCOME;
(c) WE DO NOT WARRANT THAT ANY MEDICATION WILL BE PRESCRIBED, DISPENSED, OR DELIVERED WITHIN ANY SPECIFIC TIMEFRAME;
(d) WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY EDUCATIONAL CONTENT, AI-GENERATED OUTPUT, OR THIRD-PARTY INFORMATION MADE AVAILABLE THROUGH THE SERVICES; AND
(e) WE EXPRESSLY DISCLAIM ANY WARRANTY REGARDING THE CLINICAL JUDGMENT OR PRESCRIBING DECISIONS OF TREELINE MEDICAL CLINICIANS.
Some jurisdictions do not allow the exclusion of certain warranties; the above exclusions may not apply to you to the extent prohibited by law.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT WILL C1V, ITS AFFILIATES, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF C1V HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) C1V'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY YOU TO C1V IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
(c) THE LIMITATIONS IN THIS SECTION 18 APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
(d) Nothing in these Terms limits or excludes liability for: (i) death or personal injury caused by gross negligence or willful misconduct; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be limited or excluded under applicable law.
(e) Clinical Care. Nothing in this Section 18 limits the liability of Treeline Medical or its clinicians for the provision of medical services. Any claim relating to clinical care should be directed to Treeline Medical.
Some jurisdictions do not allow the limitation of liability for certain damages. To the extent any such limitation is unenforceable, our liability will be limited to the maximum extent permitted by law.
19. Indemnification
You agree to indemnify, defend, and hold harmless C1V, its affiliates, and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) Your use or misuse of the Services;
(b) Your violation of these Terms;
(c) Your violation of any law or regulation;
(d) Your violation of any third party's rights; or
(e) Any information or content you submit through the Services, including any misrepresentation of medical history.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.
20. Termination
20.1 Termination by You
You may terminate your account at any time as described in Section 11.
20.2 Termination by Us
We may suspend or terminate your account at any time, with or without notice, if we determine in our sole discretion that:
(a) You have violated these Terms;
(b) You have engaged in fraudulent, illegal, or harmful conduct;
(c) Your continued use creates risk to our business, our partners, or other members;
(d) We are required to do so by law, regulation, court order, or platform requirement; or
(e) We elect to discontinue the Services in your jurisdiction or generally.
20.3 Effect of Termination
Upon termination, your right to access the Services ceases immediately. Sections that by their nature should survive — including without limitation Sections 8, 14, 15, 17, 18, 19, 21, and 22 — will survive termination.
Termination of your access does not relieve you of any payment obligations accrued before termination. Termination does not affect your patient relationship with Treeline Medical, which is governed by Treeline Medical's own patient agreements and applicable medical record retention laws.
21. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.
21.1 Informal Resolution
Before filing any formal claim, you agree to first contact us at support@g1v.me and attempt to resolve the dispute informally. We agree to make good faith efforts to resolve the dispute within sixty (60) days.
21.2 Binding Arbitration
If we cannot resolve a dispute informally, all disputes arising out of or relating to these Terms or the Services (other than disputes excluded below) shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect at the time the demand is filed.
The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Wyoming, and the proceeding may be conducted remotely. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
21.3 Class Action Waiver
YOU AND C1V AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator shall have no authority to conduct any class, collective, or representative arbitration.
21.4 Exceptions
This Section 21 does not apply to:
(a) Claims for injunctive relief to prevent infringement of intellectual property rights;
(b) Small-claims court actions, provided the claim qualifies and remains in small-claims court; or
(c) Claims that, under applicable law, cannot be subject to mandatory arbitration.
21.5 Opt-Out
You may opt out of the arbitration provisions in this Section 21 by sending written notice to support@g1v.me within 30 days of first accepting these Terms. The notice must include your full name, account email, mailing address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
21.6 Severability
If any portion of this Section 21 is found unenforceable, the remaining portions will remain in full force, except that if the Class Action Waiver is found unenforceable, then the entirety of Section 21 will be null and void, and disputes will instead be resolved as provided in Section 22.
22. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles. To the extent any claim is not subject to arbitration under Section 21, the exclusive venue for such claim shall be the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
Notwithstanding the foregoing, claims relating to clinical care provided by Treeline Medical are governed by the laws of the state in which the care was provided and Treeline Medical's own patient agreements.
23. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the Effective Date at the top of this page and provide reasonable advance notice (for example, by email to your account email, a notice in your dashboard, or a banner on g1v.me).
Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services and may cancel your account as described in Section 11.
24. Miscellaneous
24.1 Entire Agreement. These Terms, together with the Privacy Policy, any informed-consent documents you execute with Treeline Medical, and any additional terms presented to you at the point of enrollment, constitute the entire agreement between you and C1V regarding the Services and supersede any prior or contemporaneous agreements.
24.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
24.3 No Waiver. Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
24.4 Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely, including to a successor in interest in connection with a merger, acquisition, or sale of assets.
24.5 Force Majeure. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, internet outages, or third-party service failures.
24.6 No Third-Party Beneficiaries. Except as expressly stated, these Terms do not create any third-party beneficiary rights. Treeline Medical is acknowledged as an intended beneficiary of the indemnification and limitation-of-liability provisions in Sections 18 and 19.
24.7 Headings. Section headings are for convenience only and do not affect interpretation.
24.8 Electronic Communications. You consent to receive communications from us electronically. Communications sent by email or posted on g1v.me satisfy any legal requirement that the communication be in writing.
